PayPal is reviewing a $53 billion takeover offer from Stripe and Advent International, but the company’s board believes the proposal does not fully reflect PayPal’s long-term value. The board is also considering regulatory challenges, financing risks, and its own business turnaround strategy before making any decision.
PayPal’s board is carefully evaluating a $53 billion acquisition proposal from payment company Stripe and private equity firm Advent International. According to sources familiar with the matter, the board believes the current offer undervalues the company and may face significant regulatory and financing challenges.
The proposal values PayPal at $60.50 per share, offering a premium over its recent trading price. However, board members believe the company could generate greater value in the future if its ongoing turnaround strategy succeeds. As of Thursday’s market close, PayPal shares rose to $56.73, showing investor interest in the potential deal.
If completed, the merger would combine two of the world’s largest online payment platforms. Together, PayPal and Stripe would process approximately $3.7 trillion in annual payment volume, creating one of the biggest digital payments companies globally.
To support the acquisition, JPMorgan and Morgan Stanley have reportedly arranged a financing package worth around $50 billion, while Stripe and Advent are contributing $17 billion in equity. Despite this financial backing, PayPal’s board is also examining regulatory approvals, antitrust concerns, financing certainty, and the time required to complete such a large transaction.
Reports suggest the buyers have discussed possible solutions if regulators raise competition concerns. One option could involve separating PayPal’s Braintree business and transferring it to Advent, which already owns several payment-related investments.
Negotiations are expected to continue over the coming weeks. Investors are also closely watching PayPal’s earnings report on July 28, which may provide further insight into the company’s growth strategy and financial performance.
